
Mississippi Secretary of State’s Limited Liability Company Annual Report Grace Period Ends December 1, 2011
Under Mississippi law, all limited liability companies operating in Mississippi are required to file an annual report with the Secretary of State beginning in 2011. The initial report was due on or before April 15 of this year. Any LLC that has not filed an Annual report will be subject to administrative dissolution and final dissolution notices will be sent September 1, 2011.
The good news is that if you missed the original April 15 deadline, you still have time. The Mississippi Secretary of State has announced that both Mississippi and foreign LLCs have a one-time grace period until December 1, 2011, to file an annual report without a penalty.
Mississippi LLCs may still file online without incurring a fee or penalty. Foreign LLCs cannot complete the process online. They are permitted to fill out the form online, but are required to submit a paper copy with the $250 fee without a penalty. Click here to access the online submission location.

All LLCs which have not filed their annual reports by December 1, 2011, will be administratively dissolved.

An LLC that was formed in 2011 is not required to file an annual report until 2012.

The LLC's Business ID number is required to begin the process. That number can be looked up on Secretary of State's website.
