Mississippi Secretary of State's LLC Annual Report Grace Period
Ends December 1, 2011
Under Mississippi law, all limited liability companies operating in Mississippi are required to file an annual report with the Secretary of State beginning in 2011. The Mississippi Secretary of State has announced that both Mississippi and foreign LLCs have a one-time grace period until December 1, 2011, to file an annual report without a penalty.

IRS Explains Tax Treatment of Employer-Provided Cell Phones
In Notice 2011-72, the IRS favorably provides that when an employer provides an employee with a cell phone primarily for noncompensatory business reasons, it will be nontaxable to the employee as a working condition fringe benefit [See IRC section 132(d).] (the value of which is excludable from the employee's income) and recordkeeping of business use will not be required. In addition, the IRS will treat the value of any personal use of a cell phone, provided by the employer primarily for noncompensatory business purposes, as excludable from the employee's income as a de minimis fringe benefit.

Mississippi STEPS 2 Program--Registration Deadline Set for Sept.
30
In August, Mississippi Governor Haley Barbour announced the STEPS 2 program details and deadlines. STEPS 2 will subsidize the wages of a new qualified employee hired by any public hospital, private non-profit or for-profit entity in the state over a four-month period, and employers must sign up for the program by September 30, 2011.

Mississippi, Tennessee and Other Southern States Qualify for Tax
Relief
The Internal Revenue Service has announced on its Web site that victims of severe storms, tornadoes, straight-line winds and associated flooding beginning on April 25, 2011, in counties in Tennessee; beginning on April 15, 2011, in counties in Mississippi; and on April 27, 2011, in counties in Georgia that are designated as federal disaster areas qualifying for individual assistance have more time to make tax payments, file returns, and perform certain other time-sensitive acts.

On April 5, 2011, the Senate (by a vote of 87-12) approved the "Comprehensive 1099 Taxpayer Protection and Repayment of Exchange Subsidy Overpayments Act of 2011" (The Act). The legislation retroactively repeals expanded Form 1099 information reporting rules added by recent legislation.

Care Reform - Tax Provisions You Need to Know
On March 23, 2010, President Obama signed the Patient Protection and Affordable Care Act into law. There is a tagalong bill (the Health Care and Education Reconciliation Act of 2010) that was subsequently enacted. Some of the major provisions of the new law include: near universal health care insurance coverage, prohibiting the denial of insurance coverage due to pre-existing conditions, creation of health insurance exchanges, offering premium tax credits and cost-sharing assistance to low and middle-income Americans, and penalties for individuals for failure to maintain coverage and penalties for businesses that do not offer coverage to employees.

What You Need to Consider Now
Over the past several decades, the IRS and courts have come to various conclusions on whether severance payments are subject to Federal Insurance Contributions Act (FICA) taxation. Most recently, a U.S. District Court in Michigan affirmed an earlier bankruptcy court decision holding that some types of severance pay are exempt from social security taxation under the FICA Act, and that the employer was entitled to a refund of FICA tax it had previously paid on the severance.

Incentives to Restore Employment
On March 18, 2010, the President signed into law the Hiring Incentives to Restore Employment (HIRE) Act. The HIRE Act includes the following tax incentives: payroll tax holiday, new credit for retained workers and extension of increased expensing. Also, the 2010 Temporary Extension Act extended for one month (to March 31, 2010) the 65 percent premium subsidy to employers to cover the costs of former employees electing COBRA coverage.

2010 Presents a Window of Opportunity
Beginning January 1, 2010, any taxpayer may convert a traditional IRA to a Roth IRA regardless of income level. The former rule limiting these types of conversions to taxpayers with modified adjusted gross income of $100,000 or less has been eliminated as of January 1, 2010. Additionally, married taxpayers filing a separate return will be able to convert a traditional IRA to a Roth IRA. Currently they are prohibited from doing so.
